GoNoGo Terms of Service
Effective date: October 30, 2025
Welcome to GoNoGo ("GoNoGo," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the GoNoGo mobile and web applications, websites, software, APIs, content, products, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
If you do not agree to all of these Terms, do not use the Service.
Who we are; what we do; not legal advice
GoNoGo is a mobile-first app that helps businesses discover, organize, and triage federal contracting opportunities and manage proposal activity. We provide tools and automations; we do not provide legal, accounting, or professional advice. Any templates, suggestions, or materials are for informational purposes only and are not a substitute for advice from qualified professionals. You are solely responsible for your compliance with the FAR/DFARS, agency supplements, solicitation instructions, SAM.gov Terms of Use, and all other applicable laws and rules.
Eligibility and accounts
You must be 18 or older to use the Service. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company, in which case "you" means that company.
You must provide accurate account information and keep it up to date. You are responsible for all activity under your account and for safeguarding credentials. Notify us immediately of any unauthorized use.
We may refuse, suspend, or terminate accounts at our discretion (e.g., risk, suspected abuse, legal requirements).
Licenses and ownership
Your content.
You retain ownership of documents, data, text, files, and other materials you submit ("User Content"). You grant GoNoGo a worldwide, non-exclusive, royalty-free license to host, process, display, transmit, and otherwise use User Content solely to provide and improve the Service (including quality, security, and support). You represent you have all rights necessary to grant this license.
Our content and software.
The Service, including software, mobile apps, databases, designs, and trademarks, is owned by GoNoGo and its licensors and is protected by IP laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms. We reserve all rights not expressly granted.
Acceptable use
You will not (and will not permit others to):
- misuse, copy, modify, create derivative works of, or reverse engineer the Service;
- scrape, harvest, or bulk export data in violation of these Terms or third-party terms;
- interfere with or disrupt the Service, circumvent security or rate limits, or test vulnerabilities except under a documented, pre-approved program;
- upload malicious code, infringing content, or unlawful, misleading, or harmful materials;
- use the Service to violate procurement integrity rules, the FAR/DFARS, or any applicable law.
We may monitor, investigate, or remove content to protect the Service and comply with law.
Third-party services and data (including SAM.gov)
The Service may display, ingest, or link to third-party data or services (e.g., SAM.gov opportunities, APIs, plugins, email or calendar integrations). Third-party terms govern your use of those services and data. We do not control and are not responsible for third-party data accuracy, completeness, timeliness, availability, outages, or changes.
No official record.
Listings and metadata surfaced in the app are informational only and may be delayed, incomplete, or wrong. Always verify against the official government source before taking action or submitting offers.
Redistribution.
You must comply with any use, attribution, or redistribution restrictions imposed by third-party providers (including SAM.gov's Terms of Use). You may not commercially resell third-party datasets accessed through GoNoGo unless you have independent rights to do so.
Beta program; mobile stores; device terms
Beta features.
Some parts of the Service are offered as beta, preview, or experimental. Beta features may be incomplete, may change, and may be discontinued at any time. No uptime or support commitments apply to beta and data loss may occur. Use beta features at your own risk.
App stores.
If you download GoNoGo from Apple App Store or Google Play (including TestFlight or Android beta tracks), your use of the app also must comply with the applicable store's standard license/EULA and policies. Apple and Google are third-party beneficiaries of these Terms with respect to their platform rules and may enforce them.
Devices and connectivity.
You are responsible for obtaining compatible devices, OS versions, internet access, and data plans. Carrier fees may apply.
Plans, pricing, and payments
Plans.
We may offer free, trial, beta, and paid plans (e.g., Pro). Features and limits vary by plan and are described in the app or on our site.
Billing.
If you subscribe, you authorize us (and our payment processor) to charge your payment method on a recurring basis for the subscription term and any taxes. Subscriptions automatically renew unless canceled prior to renewal.
Trials.
If you sign up for a trial, you may be charged automatically at the end of the trial unless you cancel.
Refunds.
Except where required by law or stated otherwise, all fees are non-refundable and non-creditable once charged.
Changes.
We may change prices or plan features prospectively. We'll notify you in-app or by email before material changes take effect for your active plan.
Founding Rate (grandfathered pricing)
If we advertise a founding rate for the Pro plan during a defined beta/launch window:
The founding rate applies only to the Pro plan for the account that activates during the promo window and remains valid so long as the subscription is active and uninterrupted (no lapses, charge failures beyond our grace period, downgrades, or transfers).
It is not transferable, does not apply retroactively, and may be lost upon cancellation or plan change.
New add-ons, increased seat counts, or upgrades may be billed at then-current prices.
We may end the founding rate offer at any time for new customers.
Data; privacy; retention
Privacy Policy.
Our Privacy Policy explains how we collect, use, and protect personal data and is incorporated by reference.
Security.
We implement reasonable technical and organizational safeguards, but no system is perfectly secure. You are responsible for choosing strong credentials and limiting access to your account.
Data retention & deletion.
We retain User Content as described in the app or our documentation. Upon account closure, we may delete or de-identify data after a reasonable period, subject to legal holds, backups, and our internal retention schedules. We may charge for export assistance or complex deletion requests.
Processing location.
Data may be processed in the United States and other jurisdictions. By using the Service, you consent to such processing.
Service changes; availability; support
We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. We aim for a reliable service but do not guarantee any particular uptime or response time unless explicitly stated in a separate signed SLA. During outages, maintenance, or third-party failures, some or all functionality may be unavailable.
Feedback; suggestions; promotional materials
If you send ideas, suggestions, or feedback, you grant GoNoGo a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. With your permission, we may identify you as a customer and use your trade name and logo in a factual customer list; you may opt out by contacting us.
Government end users
The Service is commercial computer software and documentation developed at private expense. Government use is subject to these Terms and the restrictions in FAR 12.212 and DFARS 227.7202 (or successor regulations). No additional rights are granted.
Export controls and sanctions
You represent that you are not located in, under the control of, or a national/resident of any country or person subject to U.S. embargoes or sanctions, and you will not use the Service for prohibited purposes under export control or sanctions laws (e.g., EAR/ITAR). You will not export or re-export the Service except as permitted by law.
Disclaimers
The Service, content, and all materials are provided "as is" and "as available." To the maximum extent permitted by law, GoNoGo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage.
We do not warrant that the Service will be error-free, uninterrupted, secure, or that data will be accurate or complete (including any third-party data such as SAM.gov listings). You assume all risk for your use and reliance.
Limitation of liability
To the maximum extent permitted by law, in no event will GoNoGo, its affiliates, officers, directors, employees, or licensors be liable for indirect, incidental, special, consequential, exemplary, cover, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility.
Our aggregate liability for all claims relating to the Service will not exceed the amounts paid by you to GoNoGo for the Service giving rise to the claim in the 12 months before the event or $100, whichever is greater.
Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the maximum extent permitted.
Indemnification
You will defend, indemnify, and hold harmless GoNoGo and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) any dispute between you and any third party (including your customers or government entities).
Term; termination; suspension
These Terms remain in effect until terminated. You may stop using the Service at any time; to cancel a subscription, follow in-app instructions. We may suspend or terminate access immediately if we believe you violated these Terms, pose a risk, or must comply with law. Upon termination: (a) your license ends; (b) you must stop using the Service; (c) sections that by their nature should survive (e.g., ownership, payments, disclaimers, liability limits, arbitration, confidentiality) will survive. We may keep residual backups for a limited time.
Confidentiality
If you receive non-public information from us (e.g., product plans, security details), you will keep it confidential and use it only for your permitted use of the Service.
App-store specific terms
If you downloaded the app from the Apple App Store:
These Terms are between you and GoNoGo, not Apple. Apple has no obligation to furnish maintenance or support. In the event of any product failure to conform to any warranty (disclaimed above to the extent permitted), you may notify Apple and Apple will refund the purchase price (if any). Apple is not responsible for other claims. Apple and its subsidiaries are third-party beneficiaries to these Terms and may enforce them.
Similar provisions apply to Google Play in accordance with Google's developer distribution agreement and policies.
Electronic communications; notices
By creating an account, you consent to receive electronic communications from us (e.g., emails, in-app messages). We may provide notices by email to your account email, in-app, or by posting on our site. You may email notices to us at support@gonogo-app.com (or the support address listed in the app).
Modifications to the Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., email or in-app). Changes become effective when posted or on the specified effective date. If you continue to use the Service after the effective date, you agree to the new Terms.
Dispute resolution; arbitration; class-action waiver
Please read this section carefully. It affects your rights.
Informal resolution.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@gonogo-app.com and describing the dispute. If we cannot resolve it within 30 days, either party may commence arbitration as set forth below.
Arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be finally resolved by binding arbitration administered by JAMS under its Streamlined Rules. The arbitration will be held in Michigan, USA (or by video/telephone if agreed). The arbitrator may award individual relief but may not award relief that affects non-parties. Discovery is limited by the rules. Judgment on the award may be entered in any court with jurisdiction.
Class-action waiver.
You and GoNoGo agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Opt-out.
You may opt out of arbitration/class waiver by sending written notice to support@gonogo-app.com within 30 days of accepting these Terms, stating your name, account email, and that you opt out.
Small claims.
Either party may bring an individual action in small-claims court in Michigan if within that court's jurisdiction.
Injunctive relief.
This section does not limit either party's right to seek injunctive or equitable relief for misuse of IP, security breaches, or data misuse in a court of competent jurisdiction.
Compliance; anti-corruption
You will comply with all applicable laws, including anti-bribery/anti-corruption (e.g., FCPA), procurement integrity, and conflicts-of-interest rules. You agree not to offer, pay, solicit, or accept bribes or kickbacks in connection with any federal procurement.
Open-source software
The Service may contain or be provided with open-source components subject to their own licenses. In case of conflict, the open-source license terms govern for that component.
Force majeure
We are not liable for any delay or failure caused by events beyond our reasonable control, including acts of God, natural disasters, wars, terrorism, labor disputes, governmental actions, internet or utility failures, or third-party platform outages.
Miscellaneous
Governing law & venue.
These Terms are governed by the laws of the State of Michigan, excluding conflict-of-law rules, and subject to the arbitration clause above.
Entire agreement.
These Terms (plus any order forms, plan-specific terms, and the Privacy Policy) are the entire agreement and supersede all prior agreements regarding the Service.
Assignment.
You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
Severability.
If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect.
No waiver.
Our failure to enforce a provision is not a waiver.
